Terms of Service

Welcome to Robossic. These Terms of Service ("Terms") govern your purchase and use of any Robossic GPS tracking device ("Device") and your access to and use of our related tracking services, including our website, web application, mobile application, and any associated software, data, and services (collectively, the "Services").

These Terms form a binding legal agreement between you ("User," "you," or "your") and Robossic ("Company," "we," "us," or "our").

1. The Services

1.1. Description:

The Services are designed to provide real-time and historical location information for assets tracked by a Device. The Services are dependent on a functioning Device with an active subscription, third-party cellular networks, and the Global Positioning System (GPS) satellite network.

1.2. Subscription Required:

A paid, active subscription ("Subscription") is required for the Device and Services to function. The Subscription includes the data plan for the pre-installed SIM card and access to our tracking platform.

2. Fees, Payment, and Subscriptions

2.1. Device Purchase:

The purchase of the Device is a one-time fee, separate from the recurring Subscription fees.

2.2. Subscription Fees:

You agree to pay all applicable Subscription fees as described on our website at the time of purchase or renewal. All fees are in Canadian Dollars (C$) unless otherwise stated.

2.3. Recurring Billing:

Subscriptions are billed on a recurring basis (e.g., monthly, annually). By providing a payment method, you authorize us to charge your payment method on a recurring basis for the Subscription fees, plus any applicable taxes, until you cancel.

2.4. Automatic Renewal:

Your Subscription will automatically renew for successive periods of the same duration as your original Subscription term, unless you cancel your Subscription through your account dashboard or by contacting our support team before the end of the current term.

2.5. Price Changes:

We reserve the right to change our Subscription fees. We will provide you with reasonable prior notice (e.g., via email) of any price changes. Your continued use of the Services after the price change constitutes your agreement to pay the modified fee.

2.6. Failed Payments:

If your payment method fails, we reserve the right to suspend or terminate your access to the Services immediately and without notice.

3. Account Registration

To use the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Notify us immediately if you discover any security breach related to your account.

4. Lawful Use and Restrictions

4.1. Lawful Use:

You represent and warrant that you will use the Device and Services only for lawful purposes and in full compliance with all applicable local, provincial, federal, and international laws, rules, and regulations, including, without limitation, laws pertaining to privacy, data protection, and surveillance.

4.2. Prohibited Uses:

You shall not, and shall not permit any third party to:

• Use the Device or Services to stalk, harass, defame, threaten, or violate the legal rights (such as rights of privacy and publicity) of others.
• Track any person or asset without the valid legal consent of the individual or the legal owner of the asset.
• Use the Device or Services in any manner that is illegal, fraudulent, or deceptive.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Device software or the Services.
• Resell, lease, or sublicense the Services without our express written permission.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.

4.3. Indemnification for Misuse:

You agree to indemnify, defend, and hold harmless Robossic and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your breach of this Section 4.

5. Device and Returns

5.1. SIM Card:

The Device includes a pre-installed SIM card. This SIM card is owned by us or our cellular provider and is provided to you on a limited-use basis solely for accessing the Services. You may not remove, alter, or use the SIM card for any other purpose.

5.2. 30-Day Return Policy:

You may return the Device for a refund within thirty (30) days of the original purchase date, subject to the terms and conditions of our Return & Refund Policy, which is available on our website.

6. Term and Termination

6.1. Term:

These Terms commence on the date you first accept them and continue as long as you have an active Subscription.

6.2. Termination by You:

You may cancel your Subscription at any time through your account interface or by contacting support. Termination will be effective at the end of your current billing cycle. You will not receive a refund for any prepaid and unused portion of your Subscription.

6.3. Termination by Us:

We may suspend or terminate your access to the Services and your account, at our sole discretion, without notice or liability, for any reason, including:

• Your breach of these Terms.
• Your failure to pay Subscription fees.
• If required by law or a government authority.
• Our discontinuation of the Services.

6.4. Effect of Termination:

Upon termination, your right to use the Services will immediately cease. All location data and other account content may be deleted. Sections 4, 8, 9, 10, 11, and 12 shall survive termination.

7. Intellectual Property

All right, title, and interest in and to the Services, including our website, applications, software, and all underlying technology, as well as the "Robossic" name and logos, are and will remain the exclusive property of Robossic and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes, contingent on your compliance with these Terms.

8. Disclaimers of Warranties

THE DEVICE AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ROBOSSIC DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ROBOSSIC DOES NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• THE LOCATION DATA OR ANY OTHER INFORMATION PROVIDED WILL BE ACCURATE, RELIABLE, COMPLETE, OR TIMELY. "PINPOINT" OR "METER-LEVEL" ACCURACY ARE ESTIMATES AND ARE NOT GUARANTEED.
• THE DEVICE'S BATTERY LIFE WILL MEET ANY SPECIFIC DURATION. ALL BATTERY LIFE CLAIMS ARE ESTIMATES AND VARY SIGNIFICANTLY WITH USE, SIGNAL STRENGTH, AND OTHER FACTORS.
• THE SERVICES WILL BE AVAILABLE IN ALL GEOGRAPHIC LOCATIONS. SERVICES ARE DEPENDENT ON GPS SATELLITE AVAILABILITY AND THIRD-PARTY 4G CELLULAR COVERAGE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROBOSSIC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES); OR
• ANY LOSS, DAMAGE, OR INJURY TO PROPERTY (SUCH AS VEHICLES OR ASSETS) OR PERSONS (INCLUDING DEATH),

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE DEVICE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ROBOSSIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE DEVICE IS A MONITORING TOOL AND NOT A GUARANTEED ANTI-THEFT, SECURITY, OR SAFETY DEVICE. IT DOES NOT PREVENT THEFT OR HARM.

IN NO EVENT SHALL ROBOSSIC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE DEVICE OR SERVICES EXCEED THE GREATER OF: (I) ONE HUNDRED CANADIAN DOLLARS (C$100.00) OR (II) THE TOTAL AMOUNT OF SUBSCRIPTION FEES YOU PAID TO ROBOSSIC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be exclusively resolved by the competent courts located in the City of Toronto, Ontario.

11. General Provisions

11.1. Entire Agreement:

These Terms (and any policies referenced herein, such as the Privacy Policy) constitute the entire agreement between you and Robossic regarding the Device and Services and supersede all prior agreements.

11.2. Severability:

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.

11.3. No Waiver:

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11.4. Amendments:

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website or by sending you an email. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.
